Terms and conditions for using Fixpoint

Effective from the date of their publication on the website.

1. Parties and subject

These terms govern the relationship between Fixpoint BG EOOD, UIC 200137862 (“Fixpoint”), and the legal entity or sole trader using the Fixpoint system (the “Customer”). Fixpoint provides access to an ERP and B2B system as a subscription service, as well as onboarding, support and development.

2. Trial period

The Customer may use a demo instance free of charge for 30 days. The trial instance contains sample data and is deleted at the end of the period unless the Customer moves to a paid plan.

3. Plans, prices and payment

  • The plans, included modules and users, and prices are published on the Pricing page. Prices are in euro, excluding VAT.
  • The subscription is paid in advance, monthly or annually, by bank transfer only, against an invoice within 7 days of its issue.
  • Onboarding is paid once, before or when work on the Customer’s instance begins.
  • Development under the PRO+ plan and additional work are charged at €80 per hour, based on a pre-approved estimate.
  • If payment is more than 30 days overdue, Fixpoint may restrict access after written notice.
  • Fixpoint may change prices with 60 days’ notice. A change does not affect a period already paid.

4. Users

A user is an employee or associate of the Customer who logs in to the system. Portal users (customers and partners of the Customer with access to the portal only) are not charged. A single user’s access may not be shared by several people.

5. Support and availability

Support requests are accepted 24/7 by email and through the chat in the system, with response times according to the plan. Fixpoint makes reasonable efforts to keep the system available 99.5% of the time each month, excluding planned maintenance notified to the Customer in advance. Technical updates needed for the operation and security of the system are included in the subscription. Other updates, such as moving to a new platform version or new functionality, are made at the Customer’s request and by agreement.

6. Customer data

Data entered by the Customer belongs to the Customer. Fixpoint processes it solely to provide the service, as a processor within the meaning of the GDPR. The processing terms are set out in Annex 1 – Data Processing Agreement. Data is stored with the hosting provider The Three Ltd., on servers in Bulgaria. Fixpoint makes a backup once a day and keeps the backups from the last 7 days. Longer retention is agreed separately, for a fee.

7. Customer obligations

The Customer keeps its login details safe, is responsible for the actions of its users and for the lawfulness of the data entered, and does not use the system for unlawful purposes.

8. Intellectual property

The Odoo platform is open source and is used under the terms of its licence. Fixpoint’s own modules remain the property of Fixpoint unless otherwise agreed in a PRO+ development contract.

9. Liability

Fixpoint is not liable for lost profits or indirect damages. Fixpoint’s total liability is limited to the amount paid by the Customer for the last 12 months.

10. Term and termination

  • The contract is concluded for a minimum term of 12 months, with monthly or annual payment.
  • After the minimum term, the contract continues indefinitely and may be terminated by either party with one month’s written notice.
  • On termination, Fixpoint provides the Customer with a full copy of its data in a standard format and deletes it after 30 days.

11. Governing law

Bulgarian law applies. Disputes are settled by mutual agreement or, failing that, by the competent court in Sofia.
